Helmerich & Payne, Inc., incorporated on February 29, 1944, is engaged in contract drilling of oil and gas wells for others. The Company operates in the contract drilling industry. The Company's contract drilling business consists of three segments: U.S. Land, Offshore and International Land. The Company is also engaged in the ownership, development and operation of commercial real estate and the research and development of rotary steerable technology. Its real estate investments are located within Tulsa, Oklahoma, and include a shopping center containing approximately 441,000 leasable square feet, multi-tenant industrial warehouse properties containing approximately one million leasable square feet and approximately 210 acres of undeveloped real estate. The Company's subsidiaries include Helmerich & Payne International Drilling Co. and Helmerich & Payne de Venezuela, C.A.

The contract drilling operations consist of contracting Company-owned drilling equipment to oil and gas exploration companies. The Company's principal international areas of operation include Colombia, Ecuador, Argentina, Bahrain, the United Arab Emirates and other South American and Middle Eastern countries. The Company specializes in shallow to deep drilling in oil in North and South America. It is also focused on gas producing basins of the United States and in drilling for oil and gas in international locations. The Company provides drilling rigs, equipment, personnel and camps on a contract basis. These services are provided to develop oil and gas from onshore areas and from fixed platforms, tension-leg platforms and spars in offshore areas. The Company's drilling contracts are obtained through bidding or through negotiations with customers, and covers multi-well and multi-year projects. Each drilling rig operates under a separate drilling contract.

U.S. Land Drilling

The Company's U.S. Land segment operates its drilling operations in Oklahoma, California, Texas, Wyoming, Colorado, Louisiana, Mississippi, Pennsylvania, Ohio, Utah, New Mexico, Montana, North Dakota, West Virginia and Nevada. The Company has approximately 340 land rigs available for work in the United States.

Offshore Drilling

The Company's Offshore segment conducts offshore operations in the Gulf of Mexico and Equatorial Guinea. The Company has approximately nine offshore platform rigs, of which approximately eight rigs are under contract. The Company's rig assembly facility is located near the Houston, Texas ship channel, and the Company's principal fabricator and other vendors are located in the gulf coast region.

International Land Drilling

The Company's International Land segment operates in approximately seven international locations, including Ecuador, Colombia, Argentina, Tunisia, Bahrain, the United Arab Emirates and Mozambique. It has approximately 20 rigs in Argentina, over eight rigs in Colombia and approximately six rigs in Ecuador. The Company has approximately three rigs in Bahrain and over two rigs in the United Arab Emirates.

The Company competes with Nabors Industries Ltd. and Patterson-UTI Energy, Inc.
